So lets give you some more meat on the bone..

This is by no means a bash with someone. Just our take on the whole thing .. you can decide at the end yourself. Free world.

Banker X and us started to talk about a potential partnership for an incubator in Johannesburg in November last year.

We made roughly a plan etc and moved forward. Some ppl had to come onboard so the start date was set for about Feb 2022.

In this time we have a few video calls and they presented us a video they made as a primer or teaser. Call it what you want.

Everyone was happy to go forward. So the technicalities came. And a draft for a contract was send about end of Dec or beginning of Jan.

NO KYC or KYS or DD was done by now .. by neither sides. Things got for both sides a bit busy with other projects and still we cont to work on it on and off.. As the paperwork was not in the dry docks we told them - at least twice - to hold off and wait for that to be done.

Never the less they cont to work and by beginning of Feb (sans contract still) they the go to button. Of course we could have said again - stop - we did not .. correct.

Then the war hit the Ukraine and I was a bit busy with that, as part of my work is in Russia. Hate it or like it.. is as it is.

So end of the month - Feb - we got a bill from them - without any time agreeing on payment terms etc. And the bill came on Feb 28 - dated for March 1st for tax reasons (I post the bill later in the thread) to be paid in 4 days.

One the place I work for pays the bill twice in a month. A mid month and b end of month.

So said that we normally pay bills 30 days after receiving them.. I told them I try to pay it faster but I cannot promise that as our rules are as they are.

KK was cool with that till mid month approached and he of course has to pay his ppl and the bill was still not paid.

But till now we did not have any clarification on what the bill was for. Just one item disclosed and that is.. (you will see later)

In the meant time KK and his crew lunched Altvest and voila the same media lunch and and and was used like the one proposed for us. Ok he is a smart business man. Nothing wrong with that.

Upon few times explaining the bill they send us something we can work with and send us tomorrow bills (as we asked them to split the bill for easier housekeeping so they get paid faster - so that is fine). That was some time last week (Friday or something)

During this time I was flagged from various sides that an inquiry towards us resp me has started. Mainly a google research, which is ok. But google sends you whatever someone left there.. always remember so for a due diligence on a corporate level this is just the entry point.

So as the bill was not paid they send us - after telling us three times they will - a due diligence request which is not a KYC or a KYS but for a Merger it is too deep. Nobody would sign that up for a contract to sign.

After all of this and a few other things, my trust in them, was as eroded as from them to us or me. Which made me pull the plug

You can decide yourself what you would have done and what not.

Remember. No contract as of yet. We have a verbal agreement - which is good enough for me still.. no KYC or KYS done and no bill paid (yes correct) as the due date is four days after invoicing.

So I know this could fire back at me, but I do not care, as I lay out the facts what made me do what I do.. KK and his crew have theirs.

Would we agree on housekeeping from the go we pay after four days - and they would not have the money, they could do whatever they want. Fine. We never did.. I tried to pay faster than 30 days. But due to the lack of intel it did not happen. And you will see its not 800 ZAR

Am not telling you all of this to greenwash something. It is my responsibility and I decided to pull the plug for my reasons. I tell you this so you can come to your own terms. I am not looking for a feedback or absolution. I just like the records to be straight.

You can always at the end unfollow and make of it what you want. But I did not block anyone and also do not shy away any discussion.

And my lawyers are not blocked just me.
