One funny thing about transactional law is that you shouldn’t be surprised if a lawyer charges you more to review a document than to create it from scratch. I’ll explain.
If you send me a transactional document I didn’t prepare to review, I’ll have to read it line by line to make sure I don’t miss anything. In law, improper placement of a comma can change a lot. But if you tell me to prepare it, I know exactly what is on there because I put it.
So yes, it is possible that I would charge you more to review a document than to create the same document from scratch because yes, it is likely I’ll spend more time reviewing than creating.
So stop telling lawyers “isn’t it just to review?” It is not “just”. Takes time
Creating is also easier because many law firms have templates of Agreements that they create regularly. So it can take me 10 mins to prepare a Shareholders Agreement but 10 days to review one that you send to me.
